1. Definitions

In this document, the following terms used in capital letters shall have, unless the context otherwise follows, the meanings specified below:

REGISTERED MARKS: represent the registered trademarks of SC PICK UP LTD, such as, but not limited to the names Pick-up.ro and Pickup.ro

SITE: represents the Internet site belonging to SC PICK UP LTD, which is located at www.pickup.ro, through which the USER has access to information on the services and products offer/ provided by the company in the Pick-up.ro store.

ONLINE STORE: Pickup.ro web pages that are located at www.pickup.ro, through which the buyer has access to information on the products offered for sale by Pickup.ro. In the online store Pickup.ro are available to buyers for sale products from the physical store Pick-up.ro. Depending on availability, the products may have several statuses.

PICKUP.RO: represents the company SC PICK UP LTD., headquartered in Budiu Mic Village, Craciunesti, Nr. 129, Mures County, registered with the Trade Register under no. J26/1925/2004 and having the Unique Registration Code 16941262, fiscal attribute RO, hereinafter referred to as the Company;

USER: represents the person who accesses the Website/Online Store, for private or professional purposes and who has accepted the TERMS AND CONDITIONS of this SITE, fulfilling in this respect all the requirements of the registration process;

GOODS: products made available to the buyer for sale by the seller through the online store Pickup.ro.

ABUZIVE USE: represents the use of the Site in a manner contrary to the practice in the field, regulations and legislation in force or in any other way that may cause harm to the Company.

ONLINE ORDER: online communication between the seller and the buyer, through which the buyer intends to purchase goods from the seller, which the latter agrees to deliver, and the buyer agrees to pay them. For products that are not in the current stock of goods, the seller can order them at the supplier, following the customer's request at the sales department, but the delivery time for such orders exceeds the normal delivery time of 24 h - 5 days;

ORDER CONFIRMED: the order made online through the online store www.pickup.ro by a buyer whose identification data and details regarding his order were validated by phone as a result of the contact between him and the operator of the service customer support Pickup.ro. NEW CUSTOMER: customer who intends to purchase products from the online store Pickup.ro for the first time and that requires a telephone validation of the order made by the operator designated by the Company.

OPERATION TIME:

Orders can be placed online at any time, but the processing period takes place daily between 8-13.

The USER has the obligation to respect all intellectual property rights of the Company, provided by the legislation in force.

2. Site content

2.1. The information published on the SITE is information of general interest of the Company, the products marketed by it, of its partners as well as other information considered to be of interest to the USERS.

2.2. The information is made available to USERS, as a rule, free of charge. The company reserves the right to implement certain services on the SITE that will be offered for a fee to USERS.

2.3. The Company is the owner of all intellectual property rights over the Site, respectively on its design and content as well as on all trademarks registered and published on the SITE.

3. Using the site

3.1. The USER undertakes to access and use the Site for purposes and by means that do not constitute an abusive use.

4. Limitation of liability of the Company

4.1. Liability for the content of the

The Company is not and cannot be held responsible for the damages created by errors, inaccuracy or non-updating of the information published or maintained on the SITE, which is not due to its fault. USERS can find detailed information in pick-up.ro store or at partner car dealerships (FORD, ISUZU, MITSUBISHI, NISSAN, TOYOTA, VW, etc.

4.2. If the prices or other details related to the products/promotions were displayed incorrectly, including due to the fact that they were entered incorrectly in the database, we reserve the right to cancel the delivery of the respective product and notify the customer by phone/e- mail as soon as possible, about the error that occurred, if the product has not been delivered yet.

4.3. The characteristics of the products presented on the SITE are taken over / made available by manufacturers and / suppliers, and the Company does not assume responsibility for the correctness of this information.

4.4. The prices of the products on this SITE are informative and may undergo unannounced changes. The promotions presented on the SITE are valid during the mentioned time period.

If a period of time is not mentioned, they are valid within the limits of available stocks. The prices displayed on the SITE are not identical to those in the network of car dealers and the pick-up.ro store, so differences may appear between the price of the product displayed on the SITE and that displayed in the network of dealers and stores.

All products presented on this SITE are available within the limit of available physical stock. In case of stock exhaustion, the order will be cancelled, and the customer will be notified in this regard by the PickUp.ro sales representative. For paid orders, the counter value will be returned to the account from which the payment was made.

4.5. Also, the images are presented on the SITE as an example, and the delivered products may differ from the images in any way, due to changes in characteristics, design without prior notification by the manufacturers.

4.6. A pre-order product is a product that is to be launched and can be purchased before it reaches the company's stock. The supplier reserves the right to change without notice the date on which it reaches the company's stock. Pre-order products are added to the basket in the same way as any other product in the online store. By placing a pre-order, you ensure that you will receive the product immediately after it arrives in stock and that you will benefit from a very good price. Pre-ordered products will be delivered the next day they arrive at the warehouse (except for cases where the product requires color-coded painting) or within a maximum of 1-3 working days from the moment of arrival at the warehouse, but no later than 15 working days , in the situation where the product is in stock.

Pre-orders are paid in the same way as a normal order, through any of the accepted payment methods. In any of the situations (payment on delivery or online payment) it is necessary to wait for confirmation by phone or email from an operator, when the product becomes available. You can cancel a pre-order at any time. If the latter has already been paid, you can choose to return the amount or credit your account for another order.

4.7. In the case of HARDTOPS and BENA CLOSURES that are to be painted according to the color code (if necessary), we inform you of the following:

Note – any unauthorized intervention leads implicitly to the loss of the product warranty!

4.8. The company reserves the right to complete and modify any information on the SITE.

4.9. Any problem caused by the products and/or services presented on the SITE will be resolved amicably within 15 working days from the date of written notification of the problems by the USER.

5. Additional Losses/Costs.

The company is not responsible for any loss, costs, lawsuits, claims, expenses or other liabilities, if these are directly caused by non-compliance with the Terms and Conditions.

5.1. The company is not responsible for the damages created as a result of the non-functioning of the Website, as well as for those resulting from the impossibility of accessing certain links published on the Website.

6. Use of the Internet Browser.

The company guarantees optimal use of the Site by minimally using Internet Explorer 6.

6.1. We inform you that any complaints regarding the aesthetic defects of the products will be taken into account and will be analyzed only if they are complained about within the first 48 hours from the moment of receiving the product.

6.2. The payment methods for completing an online order are: cash on delivery, online with bank card, payment order, online credit payment.

If you choose to pay online with a bank card, we inform you that the registration of the payment does not guarantee the confirmation and delivery of the order. If the order is not confirmed (the deadline for processing the order is 48 hours), the amount of money paid will be returned to your account as soon as possible.

In the case of orders registered with the "cash on delivery" payment method, a unique order processing cost of 5 lei is added, a cost that will be highlighted separately in the shopping basket and on the tax invoice.

Payment solutions in equal installments are offered by EuroPayment Services s.r.l.

The processing cost of orders registered with the "cash on delivery" payment method is independent of the cost associated with the delivery of the products, which takes into account the final value of the order, not being taken into account.

6.3. Registering the order does not represent its confirmation. After receiving the order, it will be processed by our operators in order to confirm and establish the delivery details. The delivery term is 1-3 working days from the confirmation of the order, but no more than 15 days, except see point 4.6

6.4. During the Easter, winter holidays, the Black Friday event, as well as during other company campaigns, the processing of an order and its delivery can take between 7-10 working days, but no more than 15 days, except see point 4.6

6.5. Delivery. The buyer has the right not to accept the delivered goods if they do not comply with the technical details specified on the product page. In this case, the Company assumes the responsibility of bringing the products into compliance.

6.6. The buyer will take ownership of the goods after signing the transport document and making the payment (if it was not previously made) to the courier.

6.7. In case of cancellation of the order, none of the involved parties will claim/request damages.

6.8. Returning products:

According to GEO no. 34/2014, the buyer has the possibility to withdraw from the distance contract within 14 days starting from the day he takes physical possession of the product.

You have the possibility to return the product 100% INTACT within this term, it is not mandatory that it be returned in the original packaging. For this you can communicate your intention (unequivocal declaration) of return in any way (in writing - envelope in the mail, by e-mail, by phone, etc.).

If the returned product is not INTACT and we can no longer sell it as new (it is damaged, it comes with missing accessories, etc.), you will have to bear the related fees for returning the product to its original state, as the case may be.

The amount will be communicated after an evaluation of the product by the Pickup.ro team, which includes the work of rehabilitating the product and any replaced parts. The final value is determined by the value of the parts to be replaced and the reconditioning labor or as the difference between the initial value of the new product and the resale value of the used product.

Returned products that are not INTACT and show various signs of wear such as stains, scratches, bends, cracks, bumps, etc. are accepted returns ONLY after they have been initially brought into conformity to a commercial form for sale as a Refurbished / Resealed product.

In the return process, you can use any shipping service - the transport costs being fully borne by you.

6.9. Decreasing the value of returned Goods

Since, in the case of distance sales, you do not have the possibility to check the Goods before concluding the contract, you have the right to withdraw from the contract as a buyer. For the same reason, the Buyer is allowed to test and verify the Goods it has purchased to the extent necessary to determine the nature, characteristics and operation of the Goods.

In order to determine the nature, characteristics and operation of the Goods, the Buyer must handle and inspect them in the same manner as it would be permitted to do in an actual physical store. For example: The buyer only needs to try out a hardtop, not install it permanently.

The Buyer is only responsible for the diminution in value of the Goods resulting from manipulations other than those necessary to determine the nature, qualities and functioning of the Goods.

If the Buyer exercises the right of withdrawal after having used the Goods to an extent that exceeds the limit necessary to establish their nature, characteristics and mode of operation, the Buyer is responsible for any decrease in the value of the Goods.

Returned goods that show signs of wear (stains, scratches, bends, cracks, bumps, etc.) are accepted for return only after bringing them into compliance, involving the costs of sanitizing, beautifying, repairing, replacing any damaged parts and bringing them to a commercial form for sale as a Refurbished / Resealed product. The final value is determined by the value of the parts to be replaced and the reconditioning labor or as the difference between the initial value of the new product and the resale value of the used product.

Any decrease in the value of the Goods resulting from their handling other than those necessary to determine the nature, qualities and functioning of the Goods is the responsibility of the Buyer. For clarity, from the total price of the returned Good, the Seller will retain a sum of money representing the decrease in the value of the Good in a proportion of 5%-50% of the initial value of the Good, as the case may be. The counter value of the reduction fee will be communicated to the Buyer upon receipt of the returned Goods.

7. Accessing the WEBSITE www.pickup.ro

This implies the USERS' acceptance that their personal data will be kept and processed by the Company. The information you send us is treated with the utmost confidentiality and exclusively for the purposes for which it was collected.

The purposes of processing this data are: creating a user account for purchasing products, delivering ordered products, subscribing to our offers (user consent), sending commercial communications (user consent), sending offers for complementary products or accessories to purchased products (based on the user's consent and on the basis of the legitimate interest of the Company or the companies in the group), informing the subscribed users about the promotions or about any other promotions or activities carried out by the Company through any means of communication (mail, e-mail, telephone, SMS, etc.), creating a database for making statistical reports, etc.

At the time of contact, the user will be informed about the purpose of the action for which he was contacted and his consent will be requested, if the said action involves the processing of his personal data and for this his consent is needed.

SC PICK UP S.R.L. undertakes that personal data will not be disseminated to third parties through sale, partial disclosure or rental.

SC PICK UP S.R.L. may disclose your personal information to companies in the group or to authorized third parties, with whom the company has concluded various contracts, all of which are validated by the Legal Department and followed by confidentiality agreements (Non-Disclosure Agreement) and/or processing agreements of personal data (DPA).

If you select the option to pay online by paying with a bank card, the Company will transmit to the payment processor only data related to your order, without accessing and processing other data related to the bank card.

Our partners offer complementary products and services to those purchased from the Pick-Up.ro store and from www.pickup.ro; based on these partnerships, the interaction with you, the exercise of the option to subscribe to the Newsletter, you may be contacted by representatives of: SC PICK UP SRL, EuroPayment Services s.r.l., FAN Courier Express S.R.L, Urgent Cargus SRL, DYNAMIC PARCEL DISTRIBUTION S.A, GLS General Logistics Systems Romania SRL, S.C. NEMO EXPRESS LOGISTIC SA or another subcontracted carrier if you opted for delivery of the order by courier, your data can be accessed.

Any processing of your personal data will be done in compliance with the Personal Data Protection Policy.

8. Data collection

It is done through various methods and specific tools such as: professional traffic tracking software, the newsletter management application, by saving in databases the various contact forms available on the site that are filled in by users, through online questionnaires, etc. .

We use IP addresses to analyze browsing habits, administer the site, track user interests and gather demographic information for internal use. All this aims to increase the degree of ease in using the site and to publish information as relevant as possible to the interests of users.

9. Restricted access and (un)subscription

By accessing the site, creating a user account and placing orders, the customer expressly accepts the terms and conditions of the site, the way to carry out an online order as described on the site.

There are areas on the site that require registration (see Registration) or subscription (see Newsletter).

In the case of the newsletter, each edition/alert also contains the way to unsubscribe; once this option is accessed, the unsubscription is applied immediately, no further confirmations are required from the users. Depending on the type of registration (website account creation, newsletter subscription, online credit form application), the user may be asked for data such as: name, surname, email, address, CNP, company, etc.

Some requested data are mandatory in order to provide the good or service that the customer is interested in. In the case of applying for an installment loan granted by our partners, completing the CNP is a mandatory condition imposed by the institution granting financing. Also, after entering the personal data in the form on the website, the potential client can be contacted by one of the partners in order to verify the conditions for granting the credit, for formulating a financing offer/solution.

Personal data will be used for the purpose of carrying out contracts and processing your orders. Afterwards, the data will be saved taking into account the retention periods according to fiscal and commercial legislation and as long as necessary to protect the rights of the Company.

For the smooth execution of the sales contract, after the customer has expressed his agreement, a representative of the Company can contact the customer by phone or email if he provides identification and contact data while accessing the website. At the time of placing the order, the customer agrees with the subsequent form of communication (telephone or electronic) and with the seller's mode of operation.

If you have entered your contact data, but have not validated the user account, you can be contacted to complete this procedure by deleting the data in case you no longer wish to become a user or by providing assistance and validating the account. In the case of the "Recommend a friend" application, the name and e-mail address of the friend to whom you want to recommend a Pick-Up.ro product/newsletter will be requested. The application will automatically send your friend an email inviting him to visit the site.

The Company stores this information for the sole purpose of sending this single email message. No further alerts/information will be sent to the friend's address without his prior consent.

The contractual relations between the parties will be governed by Romanian law. Disputes that cannot be resolved amicably will be submitted for resolution to the competent courts in Targu Mures.
